Corporate Counsel

THIS IS A CORPORATE POSITION

SUMMARY  

This position will primarily support Papa Johns’ Global Development Team on a variety of domestic and international franchise and development matters.  Preparation and management of the domestic Franchise Disclosure Document (“FDD”) process, and preparation of domestic/international development agreements, franchise agreements, unit licenses, and related ancillary agreements.  Oversee the legal process for all franchise agreement renewals and assist with general franchising issues including day-to-day franchise matters, disputes and regulatory complianceResponsible for responding to internal stakeholders and working with outside counsel on development and franchise matters as directed. Help manage legal documents for franchise lease addendums, corporate real estate/property administration for corporate-owned restaurants, and other duties as assigned.

ESSENTIAL DUTIES AND RESPONSIBILITIES 

Under the guidance of SVP, Legal and Assistant General Counsel and Senior Counsel, provide legal counsel, support and 

representation to the Global Development team regarding domestic and international development and franchising worldwide,  

including preparation of franchise disclosure documents, development agreements, franchise agreements, and real estate  

documents. Prior experience with franchising, development, and/or real estate is preferred.  May also perform other legal 

assignments related to general corporate matters.  

  • Partner with the legal support team and development team to prepare franchise documents, including disclosure documents, development agreements, agreement amendments, letters of intent, transfer documents, default letters, incentive letters or any other document required by the development team. 

  • Review, draft and negotiate a wide variety of complex and day-to-day contracts and legal documents, including various franchise-related agreements (development agreements, unit licenses, and others); and various commercial agreements (merchandising vendor/supplier contracts, master services agreements, confidentiality agreements and others). 

  • Provide timely advice and counsel regarding domestic and international franchising issues, partnering closely with our Global Development, Operations and Legal teams as needed. 

  • Prepare and update our domestic Franchise Disclosure Document in compliance with applicable laws, rules and regulations as well as internal company requirements; work with outside counsel to develop and maintain approved state registrations for domestic franchising activities. 

  • Develop a solid understanding of domestic and international laws, regulations and legal principles relevant to day-to-day work and remain up-to-date with current legal risks to assess and proactively advise on potential or emerging compliance risks faced by the company. 

  • Keep informed of industry-specific trends and regulations and ensure that appropriate risk management strategies are in place including updating franchise and development agreements on an annual basis. 

  • Serve as a subject matter expert on franchising issues and work with other areas of Legal Department on related matters  

  • Actively engage with internal clients from multiple business units and departments, vendors and other third parties; provide practical, solution-oriented counseling and support in accordance with the company's policies to our business, including risk mitigation and dispute avoidance and resolution counseling.  

  • Partner with and provide regular status updates to the Chief Legal and Risk Officer and SVP, Legal and Assistant General Counsel of domestic and international franchising issues.  

  • Utilize outside counsel and other external resources as appropriate to ensure the Company is represented in a cost efficient and effective manner. Develop strategic direction and alternatives on legal matters.  

  • Assist with corporate compliance initiatives, real estate matters, M&A transactions and other projects, from time to time. 

DESIRED FUNCTIONAL SKILLS

Excellent verbal and written communication skills 

Legal experience with franchise law, development issues, and applicable agreements  

Knowledge of real estate, leasing and other business transactions is also desirable   

DESIRED EDUCATION, EXPERIENCE AND CERTIFICATIONS 

Bachelor’s Degree and a Juris Doctor degree. Member of the Kentucky State Bar in good standing (or a member of another state bar with an ability to become a member of the Kentucky bar). 

3 to 12 years progressive legal experience gained through a combination of law firm and in-house experience preferred. 

Prior experience drafting franchise-related documents and commercial agreements preferred. 

Working knowledge or expertise of the restaurant industry, franchising, development and real estate preferred. 

PHYSICAL DEMANDS 

While performing the duties of this job, the team member is regularly required to sit and talk or hear. The team member frequently is required to use hands to finger, handle, or feel. The team member is occasionally required to stand, walk, reach with hands and arms, repetitive use (or motion) of arms and hands, bend and stoop, and lift up to 10 pounds.
